1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Axivora Labs, a technology company specializing in enterprise AI automation, intelligent business systems, and custom AI platforms.

By accessing our website at axivora.ai, using our BPA or IDP platforms, or engaging our services, you agree to comply with these Terms and our Privacy Policy.

2. Description of Services

Axivora Labs provides enterprise-grade AI automation solutions including:

• BPA Platform: Business Process Automation — AI-powered workflow automation, lead management, multi-channel communication, and real-time analytics.
• IDP Platform: Intelligent Document Processing — AI-driven document extraction, classification, validation, and workflow integration.
• Custom AI Solutions: Tailored ML models, LLM-powered chatbots, enterprise AI systems, and full-stack development.
• Consulting Services: AI strategy consulting, workflow optimization, and implementation planning.

3. User Accounts & Access

To access our platforms, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your credentials and all activities under your account.

• Use strong, unique passwords and enable MFA when available
• Immediately notify us of any unauthorized access or security breach
• Do not share login credentials with unauthorized individuals

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

4. Acceptable Use Policy

When using Axivora Labs services, you agree not to:

• Use services for any illegal, fraudulent, or harmful purpose
• Attempt to reverse-engineer, decompile, or disassemble our software
• Interfere with or disrupt the integrity of our platforms
• Upload malicious code, viruses, or harmful data
• Attempt unauthorized access to other users' accounts or data
• Resell, sublicense, or redistribute our services without authorization
• Use AI models or outputs in ways that violate applicable laws

5. Intellectual Property

All IP rights in Axivora Labs' platforms, software, algorithms, AI models, and branding are owned by Axivora Labs. You retain ownership of data you upload. By uploading data, you grant us a limited license to process it solely for providing services.

For custom development projects, IP ownership is defined in the project agreement. Custom code transfers to the client upon full payment; Axivora Labs retains rights to proprietary frameworks and tools.

6. Data Processing & Security

We implement industry-standard security measures:

• End-to-end encryption (AES-256 at rest, TLS 1.3 in transit)
• Role-based access control (RBAC)
• Regular security audits and penetration testing
• Multi-region data redundancy and automated backups

Upon account termination, we provide a 30-day data export window, after which data is securely deleted within 90 days. See our Privacy Policy for details.

7. Payment Terms

Custom software builds and platform deployments are provided under custom project-based pricing or milestone billing. All prices are in USD. Payment schedules are specified in each project's Statement of Work (SOW) or custom agreement.

Clients are billed based on approved project milestones. Due to the custom nature of our engineering builds, payments for completed and approved milestone stages are non-refundable. Late payments may incur a 1.5% monthly fee on outstanding balances.

8. Service Level Agreement

• Uptime: 99.9% monthly uptime guarantee for custom-deployed platforms under SLA support contracts
• Response Times: Critical issues within 1 hour, High priority within 4 hours, Standard within 24 hours
• Maintenance: Scheduled maintenance announced 48 hours in advance

9. Limitation of Liability

Axivora Labs provides services on an "as is" basis without warranties. Our total liability shall not exceed fees paid in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.

10. Termination

You may terminate your account anytime. We may suspend access if you breach these Terms, engage in illegal activity, or fail to pay fees. Upon termination, you have 30 days to export data.

11. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Odisha, India.

12. Changes to Terms

We may update these Terms. Material changes will be communicated via email. Continued use constitutes acceptance of updated Terms.
